These Terms & Conditions ("Agreement") govern participation in the Brazen Learning Partners Affiliate Program (the "Program").
By applying to and joining the Program, you agree to be bound by this Agreement.

 

1. PARTIES

"Company", "we", "us", and "our" refers to Brazen Learning LLC, a Texas Limited Liability Company (SOS Filing No. 806572520), with its principal place of business in Greenville, Texas.

"Affiliate", "you", and "your" refers to the individual or organization accepted into the Program who agrees to be bound by these Terms & Conditions.

2. PROGRAM ELIGIBILITY

2.1  United States Only

The Brazen Learning Affiliate Program is open to U.S.-based individuals and organizations only. This requirement exists because Brazen Learning LLC is a registered federal contractor operating under SAM.gov (UEI: XA88HMKSEJY6), and our compliance training catalog is designed exclusively for U.S. defense contractors and federal agencies. International affiliates will not be accepted under any circumstances.

2.2  Misrepresentation and Federal Fraud Warning

 

WARNING: Any individual or entity that misrepresents their citizenship, residency, or business location to gain access to this Program will be immediately terminated and referred to appropriate federal authorities. Given that Brazen Learning LLC operates as a registered federal contractor

serving the U.S. defense industrial base, misrepresentation in connection with this Program may constitute fraud under federal law including but not limited to 18 U.S.C. § 1001 (false statements to the federal government) and may be reported to the FBI, the SBA Office of Inspector General, or other relevant agencies.

 

2.3  Vetting and Approval

All affiliate applications are reviewed and must be approved by Brazen Learning before participation begins. Submission of an application does not guarantee acceptance. We reserve the right to reject any application for any reason without disclosure.

To be considered, applicants must provide:

  Full legal name and contact information

  US Bank name and information for verification

  LinkedIn profile URL and Website or professional platform URL

  Description of your audience and how you plan to promote Brazen Learning

  Professional credentials or affiliations relevant to the GovCon, compliance, or L&D space

2.4  Grounds for Rejection

Applications may be rejected if the applicant's website or platform contains content that is unlawful, harmful, discriminatory, defamatory, sexually explicit, or otherwise objectionable, or if the applicant cannot demonstrate a legitimate and relevant audience.

3. AFFILIATE RELATIONSHIP

Nothing in this Agreement shall create a partnership, employment relationship, or agency between the parties. Affiliates have no authority to enter contracts, make representations, or incur liabilities on behalf of Brazen Learning LLC.

4. COMMISSION STRUCTURE

4.1  Commission Rates

Affiliates earn commission on net sales revenue generated through their unique affiliate tracking link, as follows:

 4.2  Definition of Net Sales Revenue

For purposes of calculating commission, "net sales revenue" is defined as gross sales revenue minus each of the following:

  Discounts or promotional codes applied at checkout

  Chargebacks or disputed transactions

  Credit card or bank processing fees

  Refunds issued under the Brazen Learning refund policy

  Any applicable state or federal taxes collected

Commission is calculated only on the net amount after all of the above deductions. Brazen Learning will provide a clear breakdown of net sales calculations in each affiliate's dashboard.

4.3  Cookie Window

Affiliate tracking cookies remain active for ninety (90) days from the date of the initial click. If a referred customer completes a purchase within 90 days of clicking an affiliate link, the referring affiliate will receive credit for the sale. This 90-day window reflects the reality that defense contractor and government-adjacent buyers often require internal budget approvals and procurement processes before completing a purchase.

5. PAYOUT SCHEDULE AND CLEARED TRANSACTIONS

 

Commissions are paid on the 25th of the second calendar month following the month in which the qualifying sale occurred.
For example, a sale completed in June will be eligible for payout on 
August 25th. A sale completed in July will be eligible for payout on September 25th.  

This schedule exists for two reasons.
-First, it allows the full refund and cancellation window to 
close before commission is paid.
 -Second, it accounts for the reality that many of our clients are 
government contractors and agencies whose payment processing timelines may extend beyond standard commercial terms.
Brazen Learning will not pay commission on a sale for which cleared 
funds have not yet been received. If payment from the end customer has not cleared by the scheduled payout date, that commission will roll to the following month's 25th payout cycle automatically.

 

5.1  Minimum Payout Threshold

The minimum payout threshold is $250.00. If your earned commission balance does not meet this threshold on a scheduled payout date, your balance will carry forward to the next payout cycle until the threshold is reached.

5.2  Payout Method

Commission payments are made via U.S. bank transfer only. Affiliates must provide valid U.S. banking details upon enrollment. Brazen Learning does not accept responsibility for failed payments resulting from inaccurate banking information provided by the affiliate.

Brazen Learning employs strict fraud prevention standards. Suspicious payout patterns or banking details associated with known fraud indicators will result in immediate account suspension and forfeiture of pending commissions pending investigation.

6. REFUND AND CANCELLATION POLICY

A commission is considered cleared and eligible for payout under the following conditions:

  The customer has not requested a refund within three (3) calendar days of purchase; AND

  The customer has accessed more than 20% of course content or completed any download of course materials.

If either condition results in a refund being granted, the associated commission will be voided. If a commission has already been paid and a refund is subsequently granted, Brazen Learning reserves the right to deduct the amount from future commission payments or request repayment.

7. AFFILIATE CONDUCT AND PROHIBITED ACTIVITIES

7.1  FTC Disclosure Requirements

Affiliates are required to clearly and conspicuously disclose their affiliate relationship with Brazen Learning in compliance with the Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255). Specifically:

  Disclosures must appear before or immediately adjacent to any affiliate link, not buried at the bottom of a page, hidden behind a "Read More" button, or placed where a reader would not reasonably see it before clicking

  Disclosures must be in plain language, such as: "I may earn a commission if you purchase through this link" or "Affiliate link — I earn a commission at no extra cost to you"

  Disclosures must appear on every page, post, email, or social media content containing affiliate links

Brazen Learning reserves the right to audit affiliate content at any time to verify FTC compliance. Failure to maintain required disclosures is grounds for immediate termination and forfeiture of pending commissions.

7.2  Required Conduct

Affiliates agree to:

  Represent Brazen Learning accurately and professionally at all times

  Keep all account and payment information current and accurate

  Promote only to audiences relevant to GovCon compliance, professional development, or related fields

7.3  Prohibited Activities

Affiliates may not:

  Use spam, unsolicited email, or unauthorized posting in forums or message boards

  Bid on Brazen Learning trademarked keywords in paid search campaigns without prior written approval

  Use Brazen Learning's website URL as a destination URL in any paid advertisement (direct linking), which would cause affiliate ads to compete directly with Brazen Learning's own advertising

  Use pop-up, pop-under, or interstitial advertising of any kind

  Offer unauthorized discounts, coupons, cashback, or incentives

  Use link cloaking, iframes, or other techniques to mask traffic sources

  Refer themselves or entities in which they hold an ownership interest

  Engage in any activity that could damage the reputation or brand of Brazen Learning

  Promote Brazen Learning on websites containing unlawful, adult, hateful, or objectionable content

  Create more than one affiliate account

8. INTELLECTUAL PROPERTY, TRADEMARKS, AND DOMAIN RESTRICTIONS

Upon acceptance into the Program, Brazen Learning grants you a limited, non-exclusive, non-transferable, royalty-free license to use Brazen Learning logos and trademarks solely for the purpose of promoting the Program through approved channels. All HTML code and graphics provided through the Affiliate Dashboard must be used as provided and may not be altered.

Affiliates are explicitly prohibited from:

  Registering any domain name that contains the words "Brazen Learning", "BrazenLearning", or any confusingly similar variation

  Creating social media handles, usernames, or profiles that include "Brazen Learning" or any confusingly similar variation

  Registering any business entity, DBA, or trademark that incorporates "Brazen Learning" or any confusingly similar name

  Using Brazen Learning's name, logo, or trademarks in any way that implies ownership, partnership, or endorsement beyond what is expressly permitted in this Agreement

All intellectual property of Brazen Learning LLC remains the sole and exclusive property of Brazen Learning LLC. Violation of this section is grounds for immediate termination and may result in legal action.

9. TRACKING AND REPORTING

Brazen Learning will track all affiliate-referred sales including origin, product purchased, and revenue generated. Full reports will be available in your Affiliate Dashboard. In the event a customer cannot be tracked due to cookie deletion, private browsing, or other technical factors, no commission will be paid for that sale.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Brazen Learning LLC, its members, officers, employees, agents, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

  Your breach of any provision of this Agreement

  Your violation of any applicable law or regulation, including FTC disclosure requirements

  Any misrepresentation you make about Brazen Learning, its products, or its services

  Any fraudulent, negligent, or otherwise wrongful act or omission by you in connection with the Program

  Any claim that your website, content, or promotional materials infringe the intellectual property rights of any third party

This indemnification obligation is of particular importance given that Brazen Learning LLC is a registered federal contractor serving the U.S. defense industrial base. Any affiliate conduct that causes reputational, legal, or regulatory harm to Brazen Learning in the context of federal contracting will be treated with the utmost seriousness.

11. LIMITATION OF LIABILITY

Brazen Learning makes no warranties regarding the Program's ability to generate income for affiliates. Our entire liability to you for any claim arising under this Agreement shall not exceed the total commissions paid to you in the three (3) months preceding the claim.

12. CONFIDENTIALITY

Each party agrees to keep confidential any non-public information received from the other party in connection with this Agreement. Confidential information shall not be disclosed to any third party without prior written consent. This obligation survives termination of the Agreement.

13. TERM AND TERMINATION

This Agreement is effective upon acceptance and continues for twelve (12) months, renewing automatically for successive twelve-month periods unless terminated. Either party may terminate with ten (10) business days written notice. Brazen Learning may terminate immediately for material breach, fraud, FTC disclosure violations, domain squatting, or conduct that harms the Company's reputation or federal contractor standing. Upon termination, all affiliate links must be removed and all licenses granted herein terminate. Any commission owed for cleared transactions prior to termination will be paid on the next scheduled payout date, unless termination results from affiliate breach, in which case pending commissions are forfeited.

14. MODIFICATIONS

Brazen Learning reserves the right to modify commission rates, payout schedules, or any other terms of this Agreement with ten (10) business days written notice. Continued participation after the notice period constitutes acceptance of the modified terms. If you do not agree to modified terms, you may terminate your participation during the notice period and receive any earned commissions for cleared transactions.

15. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Hunt County, Texas.

16. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the Brazen Learning Affiliate Program and supersedes all prior agreements, representations, or understandings. This Agreement may be amended only as described in Section 14.
